Off-market transactions for strategic assets, commodities and digital assets.
Elitelia supports selected privately negotiated transactions involving strategic assets, physical commodities, precious metals and institutional digital-asset liquidity.
We help define the transaction, identify credible counterparties, control information flow and coordinate a workable path to completion.
Access matters. Transaction readiness matters more.
Many significant transactions do not pass through public marketplaces. The challenge is rarely only finding a buyer or seller.
A credible process must establish what is being transacted, who controls it, whether each party has authority and capacity, what documentation exists and how completion can occur.
Defined transaction
The asset, product, quantity, structure, value, jurisdiction and intended outcome are sufficiently clear.
Clear authority
The presenting party can demonstrate ownership, representation or a legitimate mandate from the principal.
Elitelia focuses on selected mandates where qualification, targeted counterparty sourcing and coordinated execution can add meaningful value.
Relevant documentation
Serious counterparties receive enough reliable information to decide whether further review is justified.
Workable execution
There is a credible route through verification, diligence, documentation, payment, delivery or settlement.
Three areas of selected off-market activity.
Each opportunity is reviewed individually. Elitelia accepts only mandates where the transaction is sufficiently defined, the parties can be verified and our role can be stated clearly.
Strategic Assets
Selected transactions involving mines and mining projects, mineral rights, concessions, energy, infrastructure, industrial assets and project interests.
Commodities & Precious Metals
Selected bilateral physical transactions involving gold, precious metals, crude oil, refined products, energy commodities and other raw materials.
Digital Asset Liquidity
Introductions for eligible clients to selected third-party providers offering institutional crypto-to-fiat, fiat-to-crypto and digital-asset liquidity and settlement.
Selling the company rather than the underlying asset?
A sale of shares in a mining, energy or industrial company is generally a Corporate Finance mandate. A sale of a mine, concession, project interest or other underlying asset may fall within Off-Market Transactions.
From initial opportunity to a controlled transaction process.
The precise scope depends on the mandate. Elitelia’s role generally combines commercial clarification, selective access and coordination rather than regulated execution or custody.
Transaction qualification
Clarify the asset or product, ownership, size, jurisdiction, commercial terms, documentation, timetable and proposed execution route.
Counterparty sourcing
Identify selected buyers, sellers, investors, industrial groups, specialist funds or institutional providers with a credible reason to engage.
Controlled introductions
Use anonymised information, confidentiality arrangements, staged disclosure and verified introductions where appropriate.
Transaction coordination
Coordinate commercial questions, indicative terms, documentation flow, diligence and communication between relevant parties.
Specialist providers
Coordinate lawyers, banks, inspection firms, escrow providers, custodians, technical advisers or authorised trading providers as required.
What makes an off-market transaction actionable?
Elitelia encounters many potential opportunities. Only a proportion are sufficiently developed to justify approaching credible counterparties.
A clearly defined transaction
There is a clear answer to what is being bought, sold or exchanged and on what proposed basis.
Clear authority
Ownership, representation, corporate position or mandate can be explained and evidenced.
Relevant documentation
The available information allows a serious counterparty to conduct an informed initial review.
Commercially realistic terms
Price, procedure, delivery and economics can be compared with the relevant market and structure.
Credible counterparties
The parties can demonstrate authority, ownership or product, financial capacity and compliance readiness.
A workable execution path
There is a credible route through diligence, contracts, banking, delivery, custody or settlement.
A controlled path from enquiry to completion.
Submitting an opportunity does not mean Elitelia has accepted a mandate or verified the transaction. We first assess whether there is a credible and lawful basis for further work.
Submit the essentials
Explain what is being transacted, approximate value, jurisdiction, your relationship to it, current status and documentation available.
Initial review
We assess whether the opportunity appears relevant, sufficiently defined and potentially actionable.
Define the mandate
Agree the client, representation, scope, confidentiality, permitted information sharing, compensation and specialist providers.
Prepare the transaction
Organise a clear summary, commercial requirements, supporting documentation and controlled access to additional information.
Targeted outreach
Approach a selected group of relevant buyers, sellers, investors or institutional providers—not an indiscriminate chain.
Diligence & completion
Coordinate discussion and professional work while the relevant parties execute contracts, payment, delivery or settlement.
Trust should be demonstrated—not assumed.
Before significant information, assets or capital move, the parties should be able to demonstrate an appropriate level of identity, authority, ownership, capacity and compliance readiness.
Identity & company existence
Confirm who the individuals and corporate counterparties are and whether relevant entities legally exist.
Beneficial ownership & authority
Understand who ultimately controls each entity and whether representatives can legitimately act for the principal.
Ownership or product
Establish an appropriate, verifiable relationship with the asset, right or physical commodity being offered.
Financial capacity
Confirm that a buyer or investor can demonstrate suitable capacity at the appropriate stage.
Compliance
Satisfy applicable KYC, AML, sanctions and other transaction-specific compliance requirements.
Professional infrastructure
Identify the lawyers, banks, custodians, inspectors, technical advisers or execution providers required.
Confidentiality should follow the stage of the transaction.
Initial stage: limited or anonymised information may establish genuine interest.
Qualification: relevant parties may be asked to demonstrate credibility, authority or capacity.
Controlled disclosure: detailed information is released according to the counterparty and transaction stage.
Due diligence: fuller access is provided only when the process justifies it.
No process can guarantee absolute confidentiality, but information should not be circulated more widely than necessary.
What Elitelia does—and does not do.
Elitelia’s role generally comprises commercial advisory, opportunity qualification, counterparty sourcing, introductions and transaction coordination.
Unless expressly agreed and legally permitted, Elitelia is not the principal buyer or seller, commodity producer or warehouse, bank, custodian, escrow agent, cryptocurrency exchange, OTC dealer or payment institution.
Elitelia does not generally hold client money, physical commodities or digital assets. Regulated or specialist execution is performed by the relevant qualified or authorised provider.
Meaningful transactions with identifiable principals.
Off-Market Transactions is designed primarily for asset owners, companies, qualified buyers and sellers, investors, family offices and professional or sophisticated counterparties.

- Unrealistic pricing, premiums, discounts or procedures.
- Requests to bypass banking or regulatory requirements.
- Opportunities that cannot be documented sufficiently.
