PRIVATE INVESTMENTS · PRIVATE CREDIT

Private credit investments beyond traditional public markets.

Elitelia facilitates access for eligible and experienced investors to selected private-credit opportunities linked to established businesses, real assets and identifiable contractual cash flows.

Opportunities may include direct corporate lending, asset-backed credit and real-estate-backed financing, with defined terms, counterparties, expected economics and principal risks.

PRIVATE CREDIT, EXPLAINED

Debt negotiated outside public bond markets.

Private credit generally refers to debt financing arranged through privately negotiated transactions rather than publicly traded bonds.

Investors provide debt capital directly or indirectly to a company, project, property owner or other borrower under specific contractual terms covering interest, maturity, repayment, seniority, security, covenants and enforcement rights.

Contractual income does not remove credit risk, illiquidity or the possibility of partial or total loss of capital.

OPPORTUNITY TYPES

Different loans. Different sources of repayment.

Availability, borrower quality, jurisdiction and transaction structure vary from one opportunity to another.

01

Corporate & Direct Lending

Debt financing for established operating businesses, including expansion, acquisitions, refinancing, working capital and capital expenditure.

Cash generation and debt-service capacity remain central.Explore Corporate Financing →
02

Asset-Backed Finance

Lending supported by receivables, inventory, equipment, machinery, property, contractual income or other identifiable assets.

Collateral may improve protection, but does not eliminate loss risk.Explore Asset-Backed Opportunities →
03

Real Estate Credit

Financing connected to income property, acquisitions, repositioning, development, bridging situations or refinancing.

Value, LTV, borrower equity, cash flow, planning, exit and enforceability all matter.Explore Real Estate Investments →

HOW RETURNS ARE GENERATED

Contractual payments from the borrower.

A quoted interest rate or target return never tells the full story. Consider the borrower, leverage, collateral, seniority, maturity, liquidity and probability of repayment.

01

Interest or Coupon

A fixed rate or a reference rate plus an agreed margin paid on outstanding debt.

02

Transaction Economics

Arrangement, commitment, exit or other fees may apply depending on the structure.

03

Repayment of Principal

Principal is expected at maturity or under a schedule. Repayment is not guaranteed.

04

Other Contractual Economics

Additional mechanisms must be understood individually and never assumed.

UNDERWRITING QUESTIONS

What we look at behind the headline return.

The quality of a private-credit investment depends heavily on the underlying loan and its practical repayment path.

01

The Borrower

History, revenue, profitability, cash generation, debt, management, ownership, sector and resilience.

02

Use of Funds

Why capital is needed and whether it finances a productive purpose, acquisition, refinancing or losses.

03

Repayment Source

Cash flow, asset sale, receivables, refinancing, property sale or another defined liquidity event.

04

Seniority

Senior, subordinated, secured, unsecured, first-ranking or otherwise positioned.

05

Collateral & Security

Assets, ownership, valuation, creditor priority, existing charges, jurisdiction and enforceability.

06

Loan-to-Value

Debt relative to estimated asset value and the reliability of the value buffer.

07

Cash Flow & Debt Service

EBITDA, free cash flow, coverage, leverage, working capital and debt-service capacity.

08

Covenants

Financial and operating protections, drafting, monitoring and enforcement.

09

Maturity & Exit

Term, repayment schedule, extensions, prepayment and consequences of delay.

10

Jurisdiction & Enforcement

Creditor rights, insolvency procedures, cost and expected enforcement timeline.

SECURITY & COLLATERAL

Secured does not mean guaranteed.

Collateral can improve a lender’s position, but values may fall, another creditor may have priority, enforcement can be slow and costly, and sale proceeds may not cover the debt.

DO NOT STOP AT

“Is the loan secured?”

ASK INSTEAD

“What is the security, what is it worth, where does the investor rank and what happens in a downside scenario?”

MAIN RISKS

Evaluate risk-adjusted return—not headline yield.

Contractual income and return of principal remain exposed to the borrower and transaction structure.

01

Credit Risk

The borrower may fail to pay interest or repay principal.

02

Illiquidity Risk

Private loans are difficult or impossible to sell quickly.

03

Valuation Risk

Loans and collateral are not continuously priced on public markets.

04

Refinancing Risk

Future financing may be unavailable or materially more expensive.

05

Collateral Risk

Security may decline in value or prove difficult to enforce.

06

Concentration Risk

Exposure may depend on one borrower, asset, project, sector or jurisdiction.

07

Interest-Rate Risk

Higher rates can increase income but also pressure debt service.

08

Legal & Counterparty Risk

Documents, agents, servicers, platforms or participants may fail in practice.

FREQUENTLY ASKED QUESTIONS

Private credit questions, answered clearly.

Every opportunity remains subject to its own documentation, counterparties, economics and risks.

01What is private credit?+

Debt financing arranged through privately negotiated transactions rather than publicly traded bonds.

02What is direct lending?+

A company borrows directly from a private lender or investment vehicle rather than issuing public bonds.

03How do investors make money?+

Generally through contractual interest and principal repayment. Some transactions include fees. None are guaranteed.

04How is it different from private equity?+

Private credit expects contractual repayment; private equity acquires ownership and depends on business value and an exit.

05Is private credit secured?+

Some investments are secured and others are not. Security does not guarantee repayment.

06What does senior secured mean?+

Debt with contractual priority and specified security. Actual protection depends on documents, collateral and law.

07What is loan-to-value?+

The loan amount compared with estimated supporting asset value. Values can change.

08What happens if a borrower defaults?+

Lenders may restructure, extend or enforce security. Timing and recovery are uncertain.

09Are investments liquid?+

Usually far less liquid than public bonds; investors may need to hold until repayment or maturity.

10Are returns guaranteed?+

No. Coupons, targets and expected repayment dates are not guarantees.

11What is the minimum investment?+

It depends on the opportunity, provider, jurisdiction and eligibility requirements.

12Who can access opportunities?+

Access depends on profile and jurisdiction; some are limited to professional or otherwise eligible investors.

13Does Elitelia hold investor funds?+

Generally, no, unless expressly stated through an appropriately authorised arrangement.

14How is Elitelia compensated?+

Through possible service, introduction, referral, commercial or success-based fees disclosed where relevant.
