PRIVATE INVESTMENTS · DIRECT INVESTMENTS

Access selected direct investments in private companies.

Elitelia sources and facilitates access to selected investment opportunities in established private businesses for eligible business owners and experienced private investors.

Depending on the opportunity, investors may gain exposure through equity, preferred equity, co-investment or another transaction-specific structure.

WHAT ELITELIA PROVIDES

A specific company. A structured investment decision.

Our role is not to create a catalogue of private companies. We organise selected transactions so investors can understand the business, valuation, terms, rights, exit assumptions and principal risks.

01

Source

Identify selected opportunities through owners, shareholders, advisers, sponsors and private-market relationships.

02

Review

Consider the company, financial performance, valuation, capital structure and proposed transaction terms.

03

Organise

Structure the available information around the business, use of funds, ownership, investor rights and risks.

04

Coordinate

Facilitate investor questions with management, shareholders, sponsors and relevant professional advisers.

05

Access

Support documentation, compliance and communication with the relevant transaction counterparties.

Understand what company you are investing in, what rights you receive and what could cause the investment to lose money.

OPPORTUNITIES WE FOCUS ON

Different corporate situations. One identifiable business.

Availability changes over time. Each opportunity is assessed as a specific company or transaction rather than as part of a broad, unrelated portfolio.

01

Growth & Expansion Capital

Equity capital for established companies financing expansion, acquisitions, productive capacity, technology or commercial growth.

The case should explain how new capital is expected to contribute to future business value.

02

Shareholder Liquidity & Secondaries

Partial ownership transactions where an existing shareholder seeks diversification, succession or liquidity.

The investor may acquire existing shares rather than provide new capital to the company.

03

Strategic Capital

Transactions where a company may value sector knowledge, relationships, introductions or strategic capabilities alongside capital.

Commercial expectations and investor rights should be defined before commitment.

04

Co-Investments & Specific Deals

Exposure to an individual company alongside a lead investor, sponsor, private-equity firm or family office.

Governance, fees, rights and economics vary materially between transactions.

HOW WE REVIEW OPPORTUNITIES

We look at the business and the transaction behind it.

An attractive sector or growth story is not enough. Valuation, structure, rights, capital needs and exit assumptions all matter.

01

The Business

Model, products, market, customers, competitive position, geography and barriers to competition.

02

Financial Performance

Revenue, growth, profitability, cash generation, working capital, investment needs, debt and forecasts.

03

Management & Ownership

Experience, key-person dependence, incentives, governance, succession and alignment with new investors.

04

Use of Funds

Expansion, acquisitions, capacity, working capital, refinancing, shareholder liquidity or another defined objective.

05

Valuation

Price in relation to revenue, EBITDA, cash flow, comparable companies, transactions and growth assumptions.

06

Capital Structure

Debt, senior lenders, preferred shareholders, convertibles, shareholder loans and other claims.

07

Investor Rights

Voting, information, consent, pre-emption, anti-dilution, preference, tag, drag and distribution rights.

08

Value-Creation Plan

Growth, margin improvement, acquisitions, internationalisation, new products or operational change.

09

Exit & Downside

Potential liquidity routes, timing, dependency on future buyers and the scenarios that could impair value.

WHAT INVESTORS CAN EXPECT

The information available depends on the company and transaction. Not all materials will necessarily have been independently verified by Elitelia.

Capital moves under the documents to the named company, seller, vehicle or other contractual counterparty.

WHO WE WORK WITH

Business owners and experienced investors comfortable with concentrated private-company risk.

Suitable investors should be able to accept limited liquidity, uncertain valuations and exit timing, potential dilution, company-specific risk, transaction-specific documentation and partial or total loss of capital.

NOT A SUBSTITUTE FOR

Cash, bank deposits, emergency savings or a diversified liquid portfolio.

Eligibility, investor classification and minimum investment requirements vary by opportunity and jurisdiction.

DIRECT INVESTMENT OR FUND?

Different levels of selection, diversification and concentration.

DIRECT INVESTMENT

Exposure to one specific company

Greater visibility over the underlying business, valuation, management, terms and individual value-creation plan — with materially greater concentration risk.

PRIVATE EQUITY FUND

A manager selects a portfolio

A fund may provide greater diversification, while investors generally have less ability to choose each underlying company. Fees, control and liquidity also differ.

DIRECT OWNERSHIP OR AN INVESTMENT VEHICLE?

The legal wrapper changes the investment.

A direct investment does not necessarily mean that an investor appears personally on the company’s shareholder register. Depending on the transaction, participation may be directly into the company, through an SPV or nominee, or alongside a lead investor or sponsor.

The exact structure affects ownership, voting, investor rights, administration, fees, tax treatment, liquidity and enforcement. Investors should understand the legal structure before committing capital.

Equity and private credit are different positions. Investors looking for privately negotiated lending opportunities can explore Elitelia’s Private Credit practice →

KEY RISKS

A strong company is not always a good investment.

Assess the business, valuation, structure, investor rights, potential return and downside — not the growth story alone.

01

Business Risk

The company may perform worse than expected.

02

Concentration Risk

Performance depends heavily on one individual company.

03

Liquidity Risk

There may be no active market or reliable route to sell.

04

Valuation Risk

Private valuations are uncertain and not continuously market-tested.

05

Management Risk

Results may depend heavily on founders or key individuals.

06

Dilution & Financing

Future capital needs may reduce ownership or impose unfavourable terms.

07

Governance Risk

Minority investors may have limited influence over important decisions.

08

Exit Risk

A sale, listing or other liquidity event may not occur as expected.

09

Economic & Sector Risk

Competition, regulation, technology and markets may affect performance.

10

Legal & Counterparty Risk

Transaction parties may fail to perform or legal requirements may change.

ELITELIA’S ROLE

Source, review, organise and facilitate access.

Elitelia helps eligible investors understand selected private-company opportunities and coordinate access to relevant information and counterparties.

Elitelia is not necessarily the issuer, company, shareholder, sponsor or investment manager responsible for the transaction. Unless expressly provided through an appropriately authorised provider, we do not provide discretionary portfolio management, custody or personalised regulated investment advice.

Depending on the transaction, Elitelia may receive service, introduction, referral, commercial or success-based compensation. Relevant compensation arrangements and material conflicts are disclosed where applicable.

Elitelia also supports established companies and shareholders through Corporate Finance. A corporate mandate remains distinct from an investor’s decision to participate in an opportunity.

FREQUENTLY ASKED QUESTIONS

Direct investment questions, answered clearly.

Every company and transaction remains subject to its own documents, counterparties, economics, eligibility requirements and risks.

It provides exposure to a specific company or transaction rather than to a diversified fund selecting multiple underlying companies.

Not necessarily. This practice is not positioned as a general startup or venture-capital marketplace.
Potential sources include growth in company value, distributions, dividends, sale of the interest, sale of the company or another liquidity event. Returns are not guaranteed.

A special-purpose vehicle may pool several investors into one entity holding an interest in the company. Governance, fees, rights and structure should be understood before investing.
Relevant factors may include revenue, EBITDA, cash flow, growth, comparables, sector, competitive position and transaction-specific circumstances. Valuation remains uncertain.
Usually not. Private-company investments typically have limited or no active secondary market and may require an uncertain or extended holding period.
There is no universal minimum. It depends on the opportunity, structure, jurisdiction and eligibility requirements.
Generally no. Management is determined by the company and documents; capital is normally transferred to the named company, seller, vehicle or counterparty.
Depending on the transaction, Elitelia may receive service, introduction, referral, commercial or success-based compensation disclosed where relevant.
